("Fogo" or the "Company") today announced that it has filed a registration statement on Form S-1 with the Securities and Exchange Commission relating to the proposed initial public offering of its common stock. The registration statement filed today represents Fogo's initial public filing pursuant to the provisions of the Jumpstart our Business Startups (JOBS) Act of 2012. The number of shares to be offered and the price range for the proposed offering have not yet been determined. Fogo has applied to list its common stock on the NASDAQ Stock Market under the ticker symbol "FOGO".
Jefferies LLC and J.P. Morgan Securities LLC are acting as joint book-running managers in the proposed offering. Credit Suisse Securities (USA) LLC, Deutsche Bank Securities Inc., Piper Jaffray & Co. and Wells Fargo Securities, LLC are also acting as book-running managers.
A registration statement on Form S-1 relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective.
